1. Introduction

Welcome to Lydly.ai. These Terms of Use ("Terms") govern your access to and use of the Lydly.ai platform, website, and services (collectively, the "Service") operated by Lydly, UAB ("Company", "we", "us", or "our"), a company registered in Lithuania.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

Lydly.ai provides a SaaS platform for influencer discovery, outreach, and campaign management. The Service includes tools for searching influencer profiles, viewing analytics, and conducting AI-powered outreach campaigns.

4. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. Subscription and Payments

The Service operates on a credit-based subscription model. By subscribing to a plan, you agree to:

• Pay all applicable fees as described on the billing page
• Provide valid payment information
• Authorize recurring charges for subscription renewals

Payment Processing: All payments are processed securely through Paddle.com, our authorized Merchant of Record. Paddle handles all payment processing, billing, and tax compliance on our behalf. By making a purchase, you also agree to Paddle's Terms of Service and Privacy Policy.

Credit Rollover: Unused credits roll over to the next month and remain active for two months from the date they were credited. After that period, unused credits expire.

6. Refund Policy

We offer refunds in accordance with applicable consumer protection laws. You may request a refund:

• Within 14 days of your initial subscription purchase if you haven't used more than 10% of your credits
• If the Service is materially defective and we cannot remedy the issue within a reasonable time
• As otherwise required by applicable law

To request a refund, please contact our support team at [email protected]. Refunds are processed through Paddle and may take 5-10 business days to appear in your account.

7. Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will retain access to your remaining credits until they expire
• No refunds will be issued for partial billing periods unless required by law
• Your account data will be retained for 30 days, after which it may be permanently deleted

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Send spam, unsolicited messages, or harassing communications
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or its infrastructure
• Collect or harvest user data without consent
• Use automated systems or bots to access the Service without permission

9. Intellectual Property

The Service, including its content, features, and functionality, is owned by Lydly, UAB and is protected by international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

10. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

11. Limitation of Liability

To the maximum extent permitted by law, Lydly, UAB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar issues transmitted through the Service

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Vilnius, Lithuania.

For EU consumers: You may also be entitled to refer disputes to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.
